1. How to create your Logwise account?
Please refer to the
Beginners Guide for information on how to create your account.
For more information on password security rules, click
here.
2. How to create an insider list?
Click on the menu "PROJECTS" and select "create". You will be presented with the guide as shown below.
Use the guided workflow to create the correct type of list and to compile any required documentation. The types of lists that can be created are:
- Insider list with delayed disclosure documentation (default)
- Insider list for immediate disclosure
- Confidential list (non-MAR)
Depending on which option you pick, you are led through a guide helping you collect the required documentation. According to MAR, any decision to delay a disclosure needs to be documented and be made available upon request from your National Competent Authority (NCA). For more information on the documentation requirement, click here.
For inside information with immediate disclosure, no collection of documentation is required for the insider list, this only applies to situations when a decision to delay disclosure is made (according to MAR 17.4).
Follow the instructions in the guide and fill in the requested information. Click "FINISH" button to continue.
You have now completed the first step and your new "project" should be viewed as shown below.
3. How to add insiders to a project?
In Logwise, there are different ways of adding insiders to a project. To add additional insiders you may use one of the below methods.
1. To add insiders one by one, click the tab "ADD INSIDERS TO LIST" and fill in the name of the relevant person. Their name will show up in the drop down menu. If it does not, please press "add new contact". Once information has been filled in, click "ADD INSIDERS TO LIST" button. An email will be sent to the insider, including a legal memorandum stipulating the obligations under MAR, along with instructions how to acknowledge their obligations using Logwise. Insiders are also requested to fill out their personal information. You may check the box "Notify to keep sublist" to instruct the insider to create a subsidiary list on your behalf (typically advisors or supporting companies having access to your inside information).
2. You may also add pre-defined groups of insiders in one go. You can create insiders groups which allows you to add multiple insiders through pre-defined groups, i.e. board and management. You can also add persons and create groups without any communication being sent through the system. Please click
here to learn more.
4. How to track emails and confirmation status?
Insiders on the project are visible under the tab "INSIDERS". Next to each insider you will see a traffic light system which indicates the status of the notification email and whether the insiders have confirmed their obligations or not. Hover over the lights with the mouse to see more information. Note: Reminders are sent to insiders once every weekday until their obligations have been confirmed.
5. How to close a project
To initiate the close project process, click the button "Status: Ongoing" at the top right corner of the project, and select "Start the close project process".
Click here for a complete guide on how to close a project
Important: If there has been a delayed disclosure, ensure the project (insider list) is being closed immediately after publishing the information to the market and that your NCA receives the article 17 notification without delay.
This is the final step of the insider workflow.
There are additional functionality available through the menu (three vertical dots) at the top right hand corner at each project.
